Gamvt Artist / Seller Agreement

For artists listing and selling completed original physical artwork through Gamvt

1. Agreement and Eligibility

This Artist / Seller Agreement (the "Seller Agreement") is between Gamvt LLC ("Gamvt," "we," "us") and the person or entity accepting it ("Artist," "Seller," or "you"). By affirmatively accepting it, you also agree to the current Gamvt Marketplace Terms of Use and the policies incorporated here.

You must be at least 18 years old and legally able to contract. If you accept for an entity, you represent that you have authority to bind it. You must provide accurate identity, tax, contact, and bank information and keep it current.

2. Independent Seller Relationship

You, not Gamvt, are the independent seller and owner of each artwork. You retain possession until shipment, set or approve the listing price, warrant the listing, package and ship the artwork, and remain responsible for fulfillment and seller obligations. You remain the seller and owner of the artwork regardless of how a payment is processed, including where a payment is processed through a Gamvt payment account rather than your own. Gamvt provides marketplace and administrative services and earns a commission on completed sales.

You authorize Gamvt, and its payment processor, to facilitate and administer payments and related actions for your sales, including, as applicable to a given order: direct charges processed through your connected payment account; charges processed through a Gamvt payment account; collection of Gamvt commissions and platform fees; transfers and payouts of your proceeds; refunds and partial refunds; transfer reversals and offsets; disputes and chargebacks; reserves and holds; and the calculation, collection, reporting, or remittance of applicable taxes where required. The particular structure used for an order may vary; your status as seller and owner does not.

This Seller Agreement does not create employment, partnership, agency, franchise, fiduciary duty, or joint ownership between you and Gamvt. You have no authority to bind Gamvt.

3. Payment Account and Onboarding

To receive orders, you must complete Stripe-hosted onboarding for a connected payment account and satisfy Stripe's requirements. Stripe may collect identity, business, tax, and bank information under its own terms and privacy notice. You authorize Gamvt and Stripe to process payments for your sales, collect Gamvt's commission and fees, issue refunds, administer disputes, and transfer or release your proceeds as described in this Seller Agreement.

Gamvt generally receives transaction identifiers, account and capability status, fee and balance information, and limited verification information. Gamvt does not receive or store full payment-card numbers or your full bank credentials; that information is handled directly by Stripe.

4. Artwork and Listing Warranties

For every listing and sale, you represent and warrant that: (a) you created the artwork or have full legal authority to sell it; (b) it is a completed original physical artwork unless the listing clearly states otherwise; (c) it is authentic, available, and free of conflicting sales, liens, consignments, security interests, or ownership claims; (d) images and descriptions are accurate and not materially misleading; (e) you own or have permission to use all submitted images and text; and (f) the listing, sale, packaging, and shipment comply with applicable law.

You must accurately disclose dimensions, medium, condition, framing, edition status, signatures or certificates, material damage or restoration, shipping limits, and any other fact a reasonable buyer would consider important.

5. Listing Review and Availability

Gamvt may curate, edit formatting, request corrections, reject, pause, or remove a listing for quality, authenticity, legal, safety, fulfillment, or customer-service concerns. You must promptly mark artwork unavailable if it is sold elsewhere, damaged, lost, or otherwise cannot be fulfilled. Do not list the same unique work in a way that creates a material risk of duplicate sale.

6. Commission, Buyer Service Fee, and Stripe Fees

Commission. Gamvt earns a commission calculated on the artwork subtotal of each completed sale. The commission is not calculated on tax, shipping, or the Gamvt Buyer Service Fee. Your applicable commission rate is disclosed in your Gamvt account and controls for your future orders. Gamvt calculates the commission server-side in cents. Depending on how an order is processed, Gamvt's commission is realized either as a fee collected on your connected-account charge or from the amount otherwise transferred to you; in every case the commission is calculated only on the artwork subtotal.

Gamvt may change its commission on a going-forward basis after appropriate advance notice and renewed acceptance where required. A changed rate does not apply to an order already placed, and any commission rate already promised to you for your account is preserved as described in your account or accepted terms.

Buyer Service Fee. Gamvt separately charges buyers a Gamvt Buyer Service Fee, disclosed to the buyer before payment. It is a Gamvt fee, not a tax, and Gamvt retains it. The Buyer Service Fee does not increase your commission and does not reduce your agreed artwork proceeds; it is charged to the buyer in addition to the artwork price.

Stripe fees. Stripe charges payment-processing and other applicable fees. Who bears those fees can depend on how a given order is processed: for a charge processed through your connected account, Stripe's processing fees, and Stripe's dispute or chargeback fees, are generally deducted from that account; for a charge processed through a Gamvt payment account, Gamvt generally bears the Stripe processing fee for that charge. Gamvt does not represent that you always pay Stripe processing fees. Stripe does not return its processing fee when a transaction is refunded.

7. Pricing and Taxes

Listing prices must include the artwork itself. Any separately charged shipping or tax is disclosed before payment. You remain responsible for your own income, business, licensing, and seller-level tax obligations. Gamvt or Stripe may calculate, collect, report, withhold, or remit a particular tax to the extent required by applicable law or configured for a transaction; where that occurs, it does not transfer your own separate tax responsibilities to Gamvt, and a transaction on which no tax is collected is not, by itself, a determination that you are responsible for that tax.

You must provide accurate information reasonably requested for tax and compliance purposes, which may include your home or business location, ship-from location, tax-registration status, and the jurisdictions in which you are registered. Gamvt does not require every artist to enable Stripe Tax in order to sell, and does not provide tax advice. Where sensitive tax or identity information is handled directly by Stripe, Gamvt does not store information it does not actually receive.

8. Order Fulfillment and Shipping

Unless a listing states a different shipment window, you must tender the artwork to the carrier within seven business days after payment or order confirmation. This shipping obligation begins at payment or order confirmation and does not depend on when your proceeds are released — you do not wait to receive your payout before shipping. Use protective packaging suitable for original artwork and valid tracking.

Shipment insurance. For any sale with a final artwork price of $1,000 or more, you must obtain shipment protection covering the artwork against loss or damage in transit for at least its full sale value, and you must submit proof of that coverage to Gamvt before tendering the artwork to the carrier. For a sale of $5,000 or more, you must also complete a pre-shipment review with Gamvt before shipping. Below $1,000, full-value shipment protection is strongly recommended but not required. A declared value on a carrier label is not, by itself, insurance. Signature confirmation, a professional carrier or handler, or other enhanced precautions may also be required based on value, size, fragility, destination, or risk.

If you cannot ship within the promised period, notify Gamvt within one business day of becoming aware, with a realistic revised date — a specific date you reasonably expect to meet, not an open-ended estimate. The buyer must be offered the choice required by law to accept the delay or cancel for a prompt refund. If Gamvt directs you not to ship because of a fraud, payment, compliance, or other transaction issue, the shipment clock does not run against you during that Gamvt-directed hold. You are responsible for losses caused by inadequate packaging, unauthorized shipment changes, failure to obtain required shipment protection, or failure to follow approved claim instructions.

9. Release of Proceeds

Your sale proceeds are released to you after fulfillment, on a delayed basis rather than immediately at checkout. When the buyer confirms receipt of the artwork, Gamvt releases your proceeds and initiates your payout at that time. If the buyer neither confirms receipt nor reports a problem, Gamvt automatically releases your proceeds approximately fourteen (14) calendar days after the artwork is marked shipped, provided no cancellation, damage, non-delivery, authenticity, refund, fraud, dispute, buyer-reported problem, or legal-hold issue is open. Automatic release after this period is an administrative timeout to complete the order; it is not a confirmation by the buyer that the artwork was received, and it does not by itself resolve or waive a timely buyer claim. Depending on how an order was processed, release occurs as a payout from your connected balance or as a transfer of your share to your connected account followed by a payout. Once released, a payout may show as processing until the relevant funds are available at Stripe; Stripe settlement and bank timing determine when the money actually arrives.

This is delayed release administration, not escrow. Stripe settlement, reserve, review, bank, and payout-processing times may delay availability or arrival. Gamvt may pause a release while reasonably investigating an order, complying with law, responding to Stripe, or protecting against a refund or dispute. A hold for an investigation within Gamvt's control will not ordinarily exceed ten business days; a hold may last longer where resolution depends on an external process such as a Stripe review, a chargeback or payment dispute, a carrier or insurer investigation, law enforcement, a court or legal requirement, or another third party. A payout hold is ordinarily limited to the affected order or an amount reasonably related to the potential exposure; broader or account-wide holds are reserved for legitimate account-level risk. Gamvt will keep you reasonably informed while a hold is in place. Releases must remain within Stripe's applicable holding limits.

10. Cancellations, Refunds, and Returns

Gamvt administrators control refunds issued through the platform. You must cooperate promptly with requests for tracking, photographs, packaging, communications, return shipment, or other evidence. You must respond to a Gamvt request about an active order within two business days. If you do not respond within four business days regarding an active order, Gamvt may treat you as unresponsive and take reasonable steps to protect the buyer, including cancelling and refunding the order and applying selling restrictions. If you need to cancel an order before shipment, contact Gamvt rather than abandoning or unilaterally cancelling it; a pre-shipment cancellation is arranged through Gamvt, and repeated or unjustified cancellations may lead to selling restrictions or suspension. Buyer rights and operational deadlines are described in the current Shipping and Delivery Policy and Returns, Refunds, Cancellation, and Damage Policy.

You are financially responsible for non-shipment, wrong-item delivery, material misdescription, authenticity or ownership problems, inadequate packaging, and other Seller breach. Refunds are administered in the way appropriate to how the order was processed. For an order processed through your connected account, the refunded amount and any application-fee refund are handled through that account. For an order processed through a Gamvt payment account, Gamvt issues the refund from that account and, where your share was already transferred to you, may reverse the transfer, offset, or otherwise recover the corresponding amount to the extent permitted by law and Stripe's rules. For a full refund, Gamvt generally also refunds the corresponding commission; for a partial refund, a corresponding part of the commission may be refunded. The Gamvt Buyer Service Fee is a Gamvt fee refunded to the buyer as described in the Returns, Refunds, Cancellation, and Damage Policy, and refunding it does not draw on your proceeds. You authorize these actions.

11. Disputes and Chargebacks

If a buyer disputes a charge, the dispute is handled on the payment account through which the order was processed. For an order processed through your connected account, Stripe may debit the disputed amount and applicable fees from that account according to your Stripe configuration and terms. For an order processed through a Gamvt payment account, the dispute is handled on that account, and you remain responsible for amounts attributable to a sale involving your breach, non-delivery, misdescription, or similar Seller-fault issue, to the extent permitted by law. Gamvt may administer evidence and communications, pause releases, restrict listings, and take reasonable steps to protect buyers and the marketplace.

Provide requested evidence promptly and truthfully. If a dispute, refund, or negative-balance issue arises after your proceeds are released, you remain responsible for amounts attributable to the sale to the extent permitted by law and Stripe's rules, and you authorize Gamvt to recover them by reversal, offset against amounts otherwise owed to you, or other lawful means.

Where a chargeback or negative balance results solely from third-party payment fraud — for example, a stolen payment card — and you fully complied with Gamvt's listing and fulfillment requirements, Gamvt may, at its sole discretion and case by case, absorb or reimburse the resulting loss. This is a discretionary accommodation, not a guarantee, and it does not apply to losses arising from your own breach, non-delivery, misdescription, inadequate packaging, or failure to obtain required shipment protection.

12. No Fee Avoidance

Do not direct a buyer who discovered or contacted you through Gamvt to complete the same transaction off-platform to avoid Gamvt's commission or protections. You may sell independently through other channels, but you may not misuse Gamvt buyer information or evade fees on a Gamvt-originated transaction.

13. Seller Content License

You grant Gamvt a worldwide, nonexclusive, royalty-free license to host, reproduce, crop, resize, format, display, distribute, and promote your artist name, biography, listing images, descriptions, and related content for the purpose of operating, securing, improving, and marketing Gamvt and your listings, including promotional use across Gamvt's own channels. You may request removal of specific content, and Gamvt will remove that content from active and future-facing marketing within 30 days of a valid request where reasonably practicable, except for completed-order records, legal archives, backups, and marketing materials already distributed or published, which may persist. This license does not transfer ownership of your artwork or its underlying copyright.

14. Buyer Data and Confidentiality

Use buyer names, addresses, messages, and order information only to fulfill and support the applicable order or as otherwise permitted by law. Do not add buyers to marketing lists without separate permission, sell or disclose their information, or use it for unrelated solicitation. Protect account credentials and promptly report suspected unauthorized access.

15. Prohibited Conduct

Do not list stolen, counterfeit, infringing, unlawfully obtained, deceptive, hazardous, or prohibited items; manipulate transactions or reviews; impersonate another person; harass users; interfere with the Service; introduce malicious code; submit false claims; or use Gamvt for unlawful activity. Gamvt may remove content, pause orders or releases, and suspend access when reasonably necessary to address risk or a suspected violation.

16. Suspension and Termination

You may stop listing at any time, but this Seller Agreement continues for open orders, releases, refunds, disputes, fees, data, confidentiality, and provisions that logically survive. Gamvt may suspend or terminate selling access for breach, fraud or safety risk, legal or Stripe requirements, repeated fulfillment failures, or conduct harmful to users or the marketplace.

17. Indemnification

To the extent permitted by law, you will defend and indemnify Gamvt and its members, managers, personnel, and agents from third-party claims and reasonable costs arising from your artwork, listing content, infringement, lack of ownership or authority, taxes, shipment, packaging, buyer-data misuse, breach of this Seller Agreement, or unlawful conduct. This does not require indemnification for Gamvt's own fraud, gross negligence, or intentional misconduct.

18. Disclaimers and Limitation of Liability

Gamvt provides the Service on an "as available" basis and does not guarantee sales, buyer conduct, uninterrupted access, carrier performance, or a particular release or payout date. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive, or consequential damages. Gamvt's aggregate liability arising from a specific transaction will not exceed the greater of $100 or the commission Gamvt received from that transaction, except where prohibited by law or for Gamvt's fraud or intentional misconduct.

19. Governing Law and Disputes

Georgia law governs this Seller Agreement. Before filing an ordinary claim, the parties will attempt good-faith resolution by contacting admin@gamvt.com and, if unresolved, participate in confidential mediation. Court proceedings must be brought in a court with jurisdiction in or serving Muscogee County, Georgia, unless applicable law requires another forum. Either party may seek immediate relief to protect funds, accounts, confidential information, intellectual property, data, or safety.

20. Changes and Electronic Acceptance

Gamvt may update this Seller Agreement prospectively. Material changes to fees, payment or release structure, refund or dispute responsibility, seller duties, governing law, or data use will be presented for renewed acceptance before continued selling. Electronic acceptance and Gamvt's retained records are intended to have the same effect as a signed paper agreement.
