Gamvt Marketplace Terms of Use

General rules for visiting, creating an account, and using the Gamvt marketplace

1. Acceptance and Eligibility

These Marketplace Terms of Use (the "Terms") are a contract between Gamvt LLC ("Gamvt," "we," "us") and each person who visits, creates an account, or uses gamvt.com or related Gamvt services (the "Service"). By using the Service or affirmatively accepting these Terms, you agree to them. If you do not agree, do not use the Service.

You must be at least 18 years old and legally able to enter a contract. If you use the Service for a company or other organization, you represent that you have authority to bind it. The Service is intended for users in the United States at launch.

2. Accounts and Security

Provide accurate, current information and keep your account credentials secure. You are responsible for activity under your account unless you promptly report unauthorized access. Gamvt may require identity, contact, or eligibility verification and may refuse, restrict, or close accounts when reasonably necessary to protect users, comply with law or payment-provider requirements, or enforce these Terms.

3. Marketplace Role

Gamvt provides a curated marketplace and related technology, payment-facilitation, communication, order-support, and payout-administration services. Independent artists, not Gamvt, are the sellers of artwork unless a listing expressly states otherwise. Gamvt does not create, own, possess, inspect, package, or ship seller artwork.

Artists must also accept the Artist / Seller Agreement. Buyers must also accept the Buyer Purchase Terms and the applicable Shipping and Refund Policies. If a specialized agreement conflicts with these general Terms, the specialized agreement controls for that subject.

4. Listings, Content, and Intellectual Property

Gamvt and its licensors own the Service, including its software, brand, layout, and editorial content. Artists and other users retain ownership of content they submit, subject to the licenses they grant under the Artist / Seller Agreement or these Terms.

By submitting content to the Service, you grant Gamvt a worldwide, nonexclusive, royalty-free license to host, reproduce, format, display, and distribute that content as reasonably necessary to operate, secure, improve, and promote the Service. You represent that you have the rights needed to grant this license.

Purchasing a physical artwork does not transfer copyright, reproduction, merchandising, or other intellectual-property rights unless the artist separately agrees in writing.

5. Copyright and Rights Complaints

If you believe content on Gamvt infringes your copyright, trademark, privacy, publicity, or other rights, email admin@gamvt.com with your contact information, identification of the work or right, the location of the challenged content, the basis for your claim, and a statement that the information is accurate. Gamvt may remove or restrict content while reviewing a complaint and may request additional information.

6. Acceptable Use

Do not use the Service to violate law; sell stolen, counterfeit, infringing, hazardous, or prohibited items; impersonate others; harass users; submit false claims; manipulate transactions or reviews; scrape or copy the Service at scale; probe security; introduce malware; interfere with operation; misuse personal information; or evade Gamvt fees or protections on a Gamvt-originated transaction.

Gamvt may investigate suspected violations and preserve or disclose information when reasonably necessary to protect the Service, users, legal rights, or public safety, or to comply with legal process.

7. Communications and Electronic Records

You agree that Gamvt may provide account, order, policy, and legal communications electronically through the Service or the email associated with your account. Keep that email current. You may request a printable copy of an accepted agreement by emailing admin@gamvt.com. Marketing messages, if any, use separate consent and unsubscribe controls.

8. Third-Party Services

The Service relies on third parties such as Stripe, hosting and database providers, email providers, carriers, insurers, and security vendors. Their separate terms and privacy practices may apply. Gamvt is not responsible for outages, delays, or conduct outside its reasonable control, but this does not limit rights that cannot legally be waived.

9. Suspension and Termination

You may stop using the Service at any time. Gamvt may suspend, restrict, or terminate access for breach, fraud or safety risk, legal or Stripe requirements, repeated fulfillment failures, nonpayment, or conduct that harms users or the marketplace. Terms that by their nature should survive - including payment obligations, intellectual-property provisions, disclaimers, limitations, dispute terms, and records of completed transactions - continue after termination.

10. Disclaimers

The Service is provided on an "as available" basis. Gamvt does not guarantee uninterrupted access, sales, a particular buyer or seller, carrier performance, authenticity of every artwork, or that every listing is error-free. Sellers are required to warrant ownership and accuracy, and Gamvt may provide remedies under its purchase policies. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

11. Limitation of Liability

To the maximum extent permitted by law, Gamvt and its members, managers, employees, and agents are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, goodwill, data, or business opportunity. For claims not arising from a specific purchase, Gamvt's aggregate liability will not exceed the greater of $100 or the amount you paid directly to Gamvt during the 12 months before the event giving rise to the claim. Purchase-related limits are stated in the Buyer Purchase Terms. These limits do not apply where prohibited by law or to Gamvt's fraud or intentional misconduct.

12. Indemnification

To the extent permitted by law, you will indemnify Gamvt and its members, managers, personnel, and agents from third-party claims and reasonable costs arising from content you submit, your violation of law or another person's rights, misuse of the Service, or breach of these Terms. This does not require indemnification for Gamvt's own fraud, gross negligence, or intentional misconduct.

13. Governing Law and Disputes

Georgia law governs these Terms, without depriving consumers of mandatory protections that apply where they live. Before filing an ordinary claim, contact admin@gamvt.com and allow a reasonable opportunity for informal resolution. Court proceedings must be brought in a court with jurisdiction in or serving Muscogee County, Georgia, unless applicable law requires another forum. Either party may seek immediate relief to protect funds, accounts, confidential information, intellectual property, data, or safety.

14. Changes, Severability, and No Waiver

Gamvt may update these Terms prospectively. We will post the effective date and provide additional notice or require renewed acceptance when a change is material. If a provision is unenforceable, it will be narrowed to the minimum necessary and the remainder will continue. A waiver must be in writing and applies only to the specific instance.
